Wills

I, PHELPS PHELPS, of the City of Wildwood, County of Cape May, State of New Jersey, being of sound and disposing mind, memory and understanding, do make, publish and declare this my Last Will and Testament and I hereby revoke any and all Wills and Codicils I may have previously made.

ITEM 1. I direct that the expenses of my last illness and funeral as well as all my just debts be paid from my estate as soon after my death as is convenient and expeditious in the judgment of my Executor.

ITEM 2. I direct that my burial be in the Phelps family vault located in Simsbury, Connecticut.

ITEM 3. I give, devise and bequeath to Mrs. Rose M. Weitz of the City of Wildwood, County of Cape May, State of New Jersey, all of my stocks and bonds including but not limited to the following specific stocks and bonds, if available at the time of my death:

four (4) @ $100.00, seven (7) @ $50.00
four (4) @ $25.00 and three (3) @ $500.00

ITEM 4. In the event that Rose M. Weitz should predecease me, I direct that the above stocks and bonds be disposed of with the residuary of my estate.

ITEM 5. In accord with the terms of my mother, Marion Phelps Peters' last Will and Testament, and as I leave no issue surviving me, I direct that the principal of the two trust funds of which I am a lifetime income beneficiary, be given to my sister, Frances Phelps Penry, if living, and if she be not living, the same to her issue then living per stirpes.

ITEM 6. I give, devise and bequeath the entire residue of my estate, real and personal, of whatever kind and character, and wheresoever situate, which I may own or have the right to dispose of at the time of my death to my sister, Frances Phelps Penry of Switzerland in fee, absolutely.

ITEM 7. In the event that my sister, Frances Phelps Penry, should predecease me, then, and in such event, I give, devise and bequeath my said jewelry, the principal of said trusts and the entire residue of my estate, real and personal, of whatever kind and character and wheresoever situate, which I may own or have the right to dispose of at the time of my death, to the children, then living of my said sister, per stirpes.

ITEM 8. All estate, inheritance, succession and other taxes imposed or payable by reason of my death, and interest and penalties thereon, with respect to all property comprising my estate for death tax purposes, whether or not such property passes under this Will, shall be paid out of the principal of my general estate, as if such taxes were administration expenses, without apportionment or right of reimbursement. I authorize my Executor to pay all such taxes at such time or times as they deem advisable.
